1. Introduction

These Terms of Service ("Terms") govern your access to and use of Lumo B2B Platform API ("Service") provided by Lumo Wallet ("we", "us", "our").

By accessing or using the Service, you agree to be bound by these Terms.

2. Eligibility

To use the Service, you must:

  • Be a legally registered business entity
  • Have completed the onboarding process
  • Have agreed to our commercial terms
  • Maintain valid API credentials

3. API Access

3.1 Credentials

  • You are responsible for maintaining the confidentiality of your API keys
  • You must not share credentials with unauthorized parties
  • You must rotate keys periodically and immediately upon suspected compromise

3.2 IP Whitelist

  • Access is restricted to whitelisted IP addresses
  • Changes to the whitelist must be requested through official channels

3.3 Rate Limits

  • API usage is subject to rate limits
  • Excessive requests may result in temporary access restrictions

4. Acceptable Use

You agree NOT to:

  • Use the Service for illegal activities
  • Attempt to circumvent security measures
  • Interfere with the Service's operation
  • Use the Service to process funds from sanctioned sources
  • Reverse engineer or attempt to extract source code

5. AML Compliance

5.1 Our Obligations

  • We perform automated AML checks on incoming transactions
  • We may block transactions that fail AML screening
  • We report suspicious activities as required by law

5.2 Your Obligations

  • You must implement your own KYC/AML procedures
  • You must not knowingly process illicit funds
  • You must cooperate with any compliance inquiries

6. Fees and Payments

  • Service fees are as specified in your commercial agreement
  • Fees are non-refundable unless otherwise stated
  • We reserve the right to modify fees with 30 days notice

7. Service Availability

  • We strive for high availability but do not guarantee uptime
  • Scheduled maintenance will be announced in advance
  • We are not liable for losses due to service interruptions

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to fees paid in the past 12 months
  • We are not responsible for third-party services (banks, blockchain networks)

9. Termination

  • Either party may terminate with 30 days written notice
  • We may suspend access immediately for Terms violations
  • Upon termination, you must cease all API usage

10. Changes to Terms

  • We may update these Terms at any time
  • Material changes will be notified via email
  • Continued use constitutes acceptance of updated Terms

11. Governing Law

These Terms are governed by the laws of the jurisdiction where Lumo Wallet is registered.
